Version 2 · Effective October 20, 2026 · Middlesex Notary Co LLC d/b/a CIVIL CONSTABLE
These Terms and Conditions (the “Terms”) form a binding agreement between you and Middlesex Notary Co LLC, doing business as CIVIL CONSTABLE (“CIVIL CONSTABLE,” “we,” “us,” or “our”). They govern your access to and use of civilconstable.com, the client portal at portal.civilconstable.com, the online service-request forms, the Document Center, online invoices and payments, and the website assistant (together, the “Services”). Please read them carefully. Sections 13 (Limitation of Liability), 14 (Indemnification) and 16 (Governing Law and Disputes) limit our liability and govern how disputes are resolved.
1. Acceptance of These Terms
1.1 You accept these Terms by checking the box indicating your agreement when you create an account, submit a service request, sign a service authorization or otherwise affirmatively agree to them. If you do not agree, do not create an account or submit a request.
1.2 Browsing the public website does not, by itself, create a service contract. The terms of any assignment we accept are set by the Civil Process Service Agreement (the “Service Agreement”), your written quote and service authorization, the Payment and Billing Terms and the Refund and Cancellation Policy, each of which is incorporated into these Terms by reference.
1.3 Our Privacy Policy, Electronic Communications Policy, Electronic Signature and Document Policy, Cookie Policy and AI Assistant Disclaimer also apply to your use of the Services.

3. Who We Are and What We Do Not Do
3.1 CIVIL CONSTABLE is a private Massachusetts business that provides civil process service and documented delivery of legal documents. We are not a law firm, a court, a clerk’s office, a sheriff’s department or a government agency, and we do not act on behalf of any court or agency.
3.2 We do not provide legal advice. We do not select forms or procedures, determine whether a document is legally sufficient, determine who must be served or how, or calculate legal deadlines. No attorney-client relationship is created by your use of the Services. See our Legal Disclaimer.
4. Eligibility and Accounts
4.1 You must be at least 18 years old and legally able to enter into contracts. If you act for an organization, you represent that you are authorized to bind it.
4.2 You must provide accurate, current and complete information, keep it updated, and use your own name and email address.
4.3 You are responsible for maintaining the confidentiality of your password and of the email account used to receive sign-in links and codes, and for all activity under your Account, except to the extent caused by our failure to use reasonable security measures. You must notify us promptly at info@civilconstable.com of any suspected unauthorized access.
4.4 Workspace owners and administrators control membership and access within a firm or business workspace, including which members may see all of the workspace’s requests and invoices. You are responsible for removing access for persons who leave your organization.
4.5 We may suspend or terminate an Account that is used unlawfully, to harm others, or in material breach of these Terms. Where permitted by law and safety allows, we will tell you the reason.
5. Requests, Review, Quotes and Acceptance
5.1 A Request is not an engagement. Submitting a Request asks CIVIL CONSTABLE to review a possible assignment. It does not create a contract for service and does not obligate us to accept, attempt or complete service, or to do so by any date.
5.2 Review. We review the documents, service location, deadline, applicable legal authority and practical risks of each Request. We may request additional information or documents, decline any Request in our discretion, or, with your consent, refer it to another person authorized to perform it.
5.3 Quotes. If we can take a Request, we issue a Quote. A Quote is valid for the period stated in it and may be revised if the facts, documents or instructions change.
5.4 Acceptance. A Request becomes an Assignment only when (a) you have signed the service authorization, (b) we have received any payment, deposit, witness fee, document or court order the Quote requires, and (c) we confirm acceptance in writing. Receipt of payment alone does not constitute acceptance.
6. Your Responsibilities
You represent, warrant and agree that:
- the Client Materials are accurate, complete and lawfully obtained, and you are authorized to request service of the documents you provide;
- you, with your attorney where you have one, are solely responsible for the choice, content and legal sufficiency of documents and procedures and for all legal deadlines;
- you will provide any witness fees, mileage or other amounts that must accompany a document;
- you will use information about recipients and other persons only for lawful purposes connected with the legal matter, and not to harass, stalk, intimidate or locate any person for an unlawful purpose; and
- you will promptly notify us of any change to the documents, addresses, instructions or deadlines.
7. Acceptable Use
You must not: (a) access or attempt to access another person’s Account or records; (b) upload malicious code or files designed to damage or disrupt systems; (c) probe, scan or test the vulnerability of the Services, or interfere with their operation; (d) scrape, harvest or copy content or data by automated means; (e) misrepresent your identity or authority; or (f) use the Services in violation of any law or court order.
8. Fees and Payment
8.1 Fees are stated in your Quote and invoices and are payable as provided in the Payment and Billing Terms. Cancellations and refunds are governed by the Refund and Cancellation Policy.
8.2 Consistent with G.L. c. 140D, § 28A, we do not impose a surcharge on payments made by credit card.
9. Electronic Records and Signatures
By creating an Account or submitting a Request, you consent to receive records and notices electronically in accordance with the Electronic Communications Policy. Service authorizations may be signed electronically in accordance with the Electronic Signature and Document Policy. You may request paper copies or sign on paper at no charge.
10. Document Center and Website Assistant
10.1 Forms and templates in the Document Center are provided for convenience. Templates prepared by CIVIL CONSTABLE are not official court forms and have not been approved by any court; official forms are identified with their source. You are responsible for selecting and completing forms correctly and for any signature, notarization or filing they require, including confirming whether an electronic signature is acceptable. Forms you complete remain on your device unless you send them to us.
10.2 The website assistant provides general information and may be inaccurate. It does not provide legal advice and cannot quote, accept, modify or cancel a Request. See the AI Assistant Disclaimer.
11. Intellectual Property and Client Materials
11.1 The Services, including their text, design, logos and templates, are owned by CIVIL CONSTABLE or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services and to download templates for your own legal matters. Official government forms remain public records.
11.2 You retain all rights in the Client Materials. You grant CIVIL CONSTABLE a limited license to use, copy, store and transmit the Client Materials solely to review and perform your Request, prepare returns and records, comply with law, and maintain required business records, as described in the Privacy Policy.
12. Disclaimers
EXCEPT AS EXPRESSLY STATED IN A QUOTE OR THE SERVICE AGREEMENT, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE, THE DOCUMENT CENTER, THE WEBSITE ASSISTANT AND ALL GENERAL INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT GUARANTEE THAT ANY RECIPIENT WILL BE SERVED, THAT ANY COURT WILL ACCEPT A RETURN OF SERVICE, OR ANY LEGAL OUTCOME.
13. Limitation of Liability
13.1 TO THE FULLEST EXTENT PERMITTED BY LAW, CIVIL CONSTABLE AND ITS MEMBERS, MANAGERS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA OR LOSS OF BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.
13.2 TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE, THE DOCUMENT CENTER, THE WEBSITE ASSISTANT OR THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO CIVIL CONSTABLE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. CLAIMS ARISING FROM AN ASSIGNMENT ARE GOVERNED BY SECTION 11 OF THE SERVICE AGREEMENT.
13.3 The limitations in this Section 13 do not apply to liability that cannot be limited or excluded under applicable law, including liability for gross negligence, recklessness, willful misconduct or fraud, and they do not limit any right or remedy you have under G.L. c. 93A or any other consumer-protection law that cannot be waived by agreement.
14. Indemnification
If you use the Services on behalf of a law firm, business, landlord, property manager or other organization, you will defend, indemnify and hold harmless CIVIL CONSTABLE and its members, managers, employees and agents from and against third-party claims, losses, liabilities and reasonable costs (including reasonable attorneys’ fees) arising from (a) Client Materials or instructions that were inaccurate, incomplete, unlawful or unauthorized, or (b) your breach of these Terms, except to the extent caused by the negligence or misconduct of CIVIL CONSTABLE.
15. Term, Suspension and Termination
15.1 You may stop using the Services and ask us to close your Account at any time; see the Privacy Policy for how closure and deletion requests are handled. Closing an Account does not cancel an accepted Assignment, which is handled under the Refund and Cancellation Policy.
15.2 Sections 3, 6, 11, 12, 13, 14, 16 and 18, and any payment obligations, survive termination.
16. Governing Law and Disputes
16.1 Informal resolution. Before filing a claim, you agree to contact us at info@civilconstable.com or 335 Washington St #1127, Woburn, MA 01801, describe the issue and the relief requested, and allow thirty (30) days for us to try to resolve it. Nothing in this Section prevents either party from seeking urgent injunctive relief or from filing within a limitations period that would otherwise expire.
16.2 Governing law. These Terms and any dispute arising out of or relating to them or to the Services are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws rules.
16.3 Venue. Any action arising out of or relating to these Terms or the Services shall be brought in the state courts of the Commonwealth of Massachusetts sitting in Middlesex County or, where federal jurisdiction exists, the United States District Court for the District of Massachusetts, and the parties consent to the personal jurisdiction of those courts. This does not limit any right you have by law to bring an action in another Massachusetts court, including a small claims session with jurisdiction.
16.4 Nothing in these Terms waives any right to a jury trial or to bring a claim under G.L. c. 93A.
17. Changes to These Terms
We may amend these Terms. We will post the amended Terms with a new version number and effective date, and for material changes we will post them at least fourteen (14) days before they take effect. Amendments do not apply to Assignments accepted before their effective date. Continued use of your Account after an amendment takes effect may require you to accept the amended Terms.
18. General Provisions
18.1 Entire agreement. These Terms, the documents incorporated by reference and any Quote constitute the entire agreement between you and CIVIL CONSTABLE concerning the Services. If a Quote conflicts with these Terms regarding a specific Assignment, the Quote controls for that Assignment.
18.2 Severability. If any provision is held invalid or unenforceable, it shall be enforced to the maximum extent permitted and the remaining provisions shall remain in full force.
18.3 No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
18.4 Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, sale or transfer of our business.
18.5 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations.
18.6 Notices. We may give notices by email to the address on your Account or Request, or by posting in the portal. You may give notices to info@civilconstable.com or by mail to 335 Washington St #1127, Woburn, MA 01801.
